Terms of Service

01Definitions

"westt", "we", "us" means Westhome Commerce LLC, 1309 Coffeen Avenue STE 19533, Sheridan, Wyoming 82801, United States.

"Service" means the westt platform for configuring and operating AI agents that perform research, data processing, document analysis, workflow automation and integrations with third-party tools.

"Agent" means a configured software worker operated within the Service under the Customer's instructions.

"Agent Credits" means platform usage units representing processing capacity, as described in Section 05.

"Package" means a one-time purchase of a defined amount of Agent Credits together with the capabilities stated for that package.

"Customer", "you" means the business entity accepting these Terms. The Service is offered to businesses, not consumers.

02The service

We provide access to the Service on the package you select. Agents execute tasks based on instructions and integrations you configure. You acknowledge that AI-generated output is probabilistic: it may contain errors and must be reviewed before you rely on it for business decisions. You remain responsible for how outputs are used.

We may improve, modify or discontinue features with reasonable notice where a change materially reduces the Service.

03Accounts

• You are responsible for your workspace, users and credentials, and for all activity under them.
• Account information must be accurate and kept current.
• You must notify us without undue delay of any suspected unauthorised access.

04Packages & payment

Packages. Starter ($250 / 5,000 Agent Credits), Pro ($500 / 15,000) and Business ($1,000 / 40,000) are one-time purchases per workspace. Nothing recurs and nothing renews automatically; when your credits are consumed or expire, you may purchase a further package of any size. Packages are charged on purchase and are non-refundable once credits from the package have been consumed, except where required by law.

Auto top-up (optional). You may enable automatic purchase of a further package when your credit balance falls below a threshold you choose. Each top-up is a discrete one-time purchase at then-current prices, confirmed to you when it executes, and you can disable it at any time. Auto top-up is not a subscription; nothing is ever charged on a time basis.

Enterprise. Enterprise engagements (custom agents, integrations, implementation, training and support) are governed by a separate order form or agreement; where that document conflicts with these Terms, the order form prevails.

Changes. Prices may change with at least 30 days' notice, applying to future purchases only. Taxes are added where applicable.

05Agent Credits

Agent Credits represent processing capacity within the platform. Credits are consumed when agents perform tasks such as research, AI processing, document analysis, API operations and automated workflows. You can monitor consumption from your account dashboard.

Agent Credits are platform usage units. They are not money, cannot be transferred between customers and cannot be redeemed for cash.

• Credits are valid for 12 months from purchase; unconsumed credits lapse at expiry.
• Credit consumption rates per task type may be adjusted with notice; adjustments do not retroactively change consumed credits.

06Acceptable use

You must not use the Service to violate law or third-party rights, and in particular must not:

• process data you have no legal right to process, or scrape sources in breach of their terms;
• send unlawful communications, including unsolicited messages in breach of anti-spam rules;
• generate or distribute malicious code, or attempt to disrupt or gain unauthorised access to the Service;
• use outputs to mislead, defraud or unlawfully discriminate;
• resell the Service or share credits across separate customers.

We may suspend workspaces that present a security or legal risk, with notice where practicable.

07Customer data & intellectual property

Your data stays yours. You retain all rights to data, documents and content you submit, and to outputs your agents produce from them. You grant us a licence to process this material solely to provide and support the Service.

We do not use your workspace content to train our own machine-learning models, and we engage subprocessors on terms that restrict use of your content to providing the Service.

The Service, including software, design and documentation, remains our property. Feedback may be used to improve the Service without obligation.

08Confidentiality

Each party will protect the other's non-public information with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers who need it and are bound by confidentiality.

09Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that outputs will be accurate, complete or fit for any specific business purpose, or that the Service will be uninterrupted or error-free.

10Liability

To the maximum extent permitted by law: neither party is liable for indirect, incidental or consequential damages, or loss of profits, revenue or data; and our total aggregate liability under these Terms is capped at the amounts you paid for the Service in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

11Termination

• There is no subscription to cancel: access to package capabilities runs until your credits are consumed or expire.
• Either party may terminate for material breach not cured within 30 days of notice.
• On termination we will make your data available for export for 30 days, after which it is deleted per our retention schedule. Unconsumed credits lapse on termination, except where required by law.

12General

These Terms are governed by the laws of the State of Wyoming, United States; the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction, subject to mandatory law. We may update these Terms with notice; continued use after the effective date constitutes acceptance. If a provision is unenforceable, the remainder stands. Questions: hello@westt.me.
